1. General Terms

By accessing or using this website, or by engaging Shreyan Narula ("Contractor") for freelance software engineering and product development services, you ("Client") agree to be bound by these Terms and Conditions.

2. Scope of Services

The scope of work, deliverables, milestones, and timelines will be explicitly defined in a separate written agreement or proposal agreed upon by both parties before the commencement of any project.

3. Payment Terms

• Payments must be made according to the schedule outlined in the project agreement/invoice.
• All invoices are due upon receipt unless otherwise specified.
• Work on subsequent milestones may be paused if prior invoices remain unpaid.

4. Intellectual Property

Upon receipt of full and final payment for a given project or milestone, the intellectual property rights for the developed software code and deliverables are transferred to the Client, unless specifically stated otherwise in the project agreement. Pre-existing code or open-source libraries remain under their respective licenses.

5. Limitation of Liability

The Contractor shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the delivered software. The maximum liability shall not exceed the total amount paid by the Client for the specific project.

6. Shipping Policy

All products and services provided are digital in nature (software code, architecture, deployments, etc.). Therefore, no physical shipping is required or provided.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in India.
